TERMS OF SERVICE

1. Introduction
Welcome to Chemoji. These Terms of Service ("Terms") form a legally binding agreement between you ("you" or "User") and Emoji Date, LLC, a Wyoming limited liability company doing business as Chemoji ("Chemoji," "we," "us," or "our").
Chemoji provides a chemistry-led social connection platform for adults that supports respectful discovery and intentional interaction through emotional signals and visual cues (collectively, the "Services").
By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference.
2. Eligibility and Age Requirement
Chemoji is intended exclusively for adults aged 18 or older. By using the Services, you represent and warrant that you are at least 18 years old, have the legal capacity to enter into this agreement, and are legally permitted to use the Services under applicable law.
If you do not meet these requirements, you must not access or use Chemoji.
3. Acceptance of Terms
By creating an account, accessing, or using the Services, you acknowledge that you have read, understood, and agree to these Terms. If you are using the Services on behalf of an entity, you represent that you are authorized to bind that entity, and "you" refers to both you and the entity.
If you do not agree to these Terms, do not use the Services.
4. Nature of the Services
Chemoji is a chemistry-led social connection platform designed to help adults explore emotional and interpersonal compatibility before conversation or personal contact. Rather than prioritizing bios, profile-first browsing, or swipe mechanics, Chemoji may present emotional signals and visual cues intended to support respectful discovery and intentional interaction.
The Services may be used for social connection, friendship, or dating depending on user intent. Chemoji does not guarantee matches, responses, compatibility, or outcomes.
Chemoji does not provide escort services, adult entertainment, paid companionship, or any transactional dating services. All interactions are voluntary and user-initiated. Users acknowledge and accept that Chemoji is not responsible for the behavior of other users.
5. Account Responsibilities
You are responsible for maintaining the confidentiality of your login credentials, all activity that occurs under your account, and promptly notifying us of unauthorized access. You must provide accurate, complete, and current information when creating an account and update such information as necessary. Chemoji is not liable for losses caused by unauthorized use of your account or failure to comply with this section.
6. Purchases, Digital Features, and Virtual Credits
6.1 Virtual Credits
Chemoji may offer optional virtual credit packages or other digital items ("Virtual Credits") that can be used to access in-app features. Virtual Credits are digital goods, have no cash value, are non-transferable, cannot be redeemed for money or services, and may be consumed upon use. Virtual Credits do not guarantee responses, matches, engagement, or outcomes.
6.2 Pricing
Virtual Credit package options and prices are displayed at checkout and may change from time to time. Applicable taxes may be added at checkout.
6.3 Refund Policy
All purchases are final and non-refundable, except where required by applicable law. Because Virtual Credits and other digital items may be delivered instantly and may be consumed immediately, refunds are not provided for unused or partially used Virtual Credits. If a technical error prevents delivery of purchased items, users may contact support for review.
7. Payments and Chargebacks
Payments may be processed by third-party payment providers and/or a Merchant of Record. Chemoji does not store full payment card information. Chargebacks and disputes are governed by the applicable provider’s policies. Abuse of chargebacks may result in account suspension or termination.
8. Acceptable Use Policy
By accessing or using Chemoji, you agree to use the platform solely for lawful, personal, and non-commercial social interaction consistent with its intended purpose as a chemistry-led, emotion-first connection platform for adults aged 18 or older.
The following activities are strictly prohibited:
- Transactional Relationships: Using the platform to solicit, request, offer, arrange, or imply the exchange of money, gifts, tips, favors, services, or anything of value in connection with companionship, dating, time, attention, or activities.
- Adult Services / Escorting / Sugar Dating: Using Chemoji to advertise, arrange, promote, or facilitate escorting, sugar dating, paid dating, adult services, sexually explicit commercial activity, or any transaction-based relationship.
- Hookup or Adult Content Marketplace: Using the platform primarily to distribute explicit content, solicit explicit commercial services, or operate as an adult content marketplace.
- Commercial Use or Promotion: Using the platform for advertising, solicitation, lead generation, marketing, or promotion of third-party services, products, or paid interactions without explicit written authorization from Chemoji.
- Misrepresentation and Manipulation: Misrepresenting identity, intent, or relationship expectations for financial gain, manipulation, exploitation, or to deceive other users.
- Harassment and Harm: Harassing, threatening, stalking, bullying, doxxing, extorting, or otherwise harming or attempting to harm other users.
- Privacy Violations: Collecting, scraping, or attempting to obtain personal data from users without consent, or sharing another person’s information without permission.
- Circumvention of Safeguards: Attempting to bypass moderation, reporting systems, identity protections, age restrictions, paywalls, or enforcement mechanisms.
- Illegal or Prohibited Content: Posting illegal content or content that violates applicable law, including content involving minors in any context.
- Provider Policy Violations: Engaging in any conduct that would cause Chemoji to violate the acceptable use, restricted product, or prohibited activity policies of its payment processors or Merchant of Record providers.
Chemoji reserves the right to monitor, investigate, restrict, suspend, or terminate accounts that violate this Acceptable Use Policy. Users acknowledge that violations of this Acceptable Use Policy may result in immediate account termination and loss of access to paid services without refund.
9. User Conduct and Prohibited Activities
You agree not to use Chemoji to:
- Violate any law, regulation, or third-party rights.
- Post sexually explicit, graphic, or illegal content.
- Engage in fraud, scams, phishing, extortion, or other deceptive practices.
- Impersonate others or misrepresent your identity.
- Distribute malware, viruses, or spam.
- Use automated tools, bots, scraping, or reverse engineering of the Services.
- Exploit, stalk, or violate other users’ privacy or safety.
Chemoji reserves the right to suspend or terminate accounts that violate these rules and may report illegal activity to authorities.
10. User Content and Intellectual Property
You retain ownership of content you submit ("User Content"), but you grant Chemoji a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, reproduce, display, distribute, and use that User Content solely to operate, provide, maintain, and improve the Services, including moderation and enforcement.
You represent that you have all rights necessary to submit User Content and that your User Content does not infringe any third-party rights, including intellectual property, privacy, or publicity rights.
Chemoji may remove or restrict access to User Content that violates these Terms, applicable law, or our policies.
11. Brand and Platform Clarification
“Chemoji” is a brand name and registered business identity. It does not describe a lifestyle, service category, dating classification, or personal label. The name refers only to the platform’s use of visual and emotional signaling as part of its connection experience.
Emoji-based and visual features on Chemoji are designed to support expression of emotional tone and interpersonal chemistry. They are not intended to represent explicit content, adult services, or commercial interaction.
12. Safety Disclaimer
CHEMOJI DOES NOT CONDUCT BACKGROUND CHECKS OR GUARANTEE THE IDENTITY OF USERS.
YOU ARE SOLELY RESPONSIBLE FOR YOUR INTERACTIONS, BOTH ONLINE AND OFFLINE. USE CAUTION, EXERCISE GOOD JUDGMENT, AND FOLLOW SAFETY GUIDELINES.
13. Moderation and Enforcement
Chemoji reserves the right to investigate suspected violations, remove content, restrict functionality, suspend or terminate accounts, and cooperate with law enforcement where required. We may use technical measures, including automated tools, to help enforce these Terms and prevent violations.
14. Third-Party Links and Services
The Services may include links to third-party websites or services. Chemoji is not responsible for the content, policies, or practices of third parties. Your use of third-party services is at your own risk, and you should review their terms and privacy policies before use.
15. Privacy and Data Usage
By using Chemoji, you consent to our collection, use, and disclosure of information as described in our Privacy Policy. Chemoji may collect information about your use of the Services to provide and improve the Services, support safety, and enforce these Terms. We may use aggregated and anonymized data for analytics and product improvement.
16. Termination and Account Consequences
CHEMOJI MAY SUSPEND OR TERMINATE YOUR ACCESS TO THE SERVICES AT ANY TIME, WITH OR WITHOUT NOTICE, FOR ANY REASON, INCLUDING VIOLATIONS OF THESE TERMS. UPON TERMINATION:
- Your license to use the Services ends immediately.
- Any unused Virtual Credits or digital items may be forfeited.
- Chemoji may delete or deactivate your account and associated data, except as required by law.
17. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHEMOJI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. CHEMOJI DOES NOT GUARANTEE UNINTERRUPTED, ERROR-FREE, OR SECURE ACCESS.
18. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHEMOJI SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES. CHEMOJI’S TOTAL LIABILITY SHALL NOT EXCEED $200 USD.
19. Indemnification
YOU AGREE TO INDEMNIFY AND HOLD HARMLESS CHEMOJI FROM CLAIMS ARISING FROM YOUR USE OF THE SERVICES, YOUR USER CONTENT, OR YOUR VIOLATION OF THESE TERMS OR APPLICABLE LAW.
20. Governing Law and Venue
These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles. Any legal action must be brought exclusively in state or federal courts located in Wyoming, unless the arbitration section below applies.
21. Arbitration Agreement and Waiver of Class Actions
ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL BE RESOLVED EXCLUSIVELY THROUGH BINDING ARBITRATION, EXCEPT THAT YOU MAY ASSERT CLAIMS IN SMALL CLAIMS COURT IF QUALIFIED. ARBITRATION SHALL BE ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION (AAA) UNDER ITS RULES. BY AGREEING TO ARBITRATION, YOU WAIVE THE RIGHT TO PARTICIPATE IN CLASS ACTIONS OR CLASS ARBITRATIONS. THIS ARBITRATION PROVISION SURVIVES TERMINATION OF YOUR ACCOUNT OR USE OF THE SERVICES.
22. Changes to These Terms
Chemoji may update these Terms from time to time. Continued use of the Services after changes become effective constitutes acceptance.
